Job Description

About the job:

You’ll be an integral part of the legal team, focusing on a wide range of legal matters related to Wise's upcoming primary listing in the US and ensuring ongoing compliance as a publicly traded company. You'll be a key advisor on corporate governance, securities law and capital markets matters, helping to navigate the complexities of being a listed company in the US.

You’ll be:

  • Working closely with the global Legal team, business teams and external counsel to prepare for and execute Wise’s US listing.
  • Advising on all aspects of US securities law, including compliance with SEC rules and exchange standards.
  • Drafting, reviewing and managing all corporate and securities-related disclosures and filings required in the US.
  • Advising on general corporate matters, including capital markets transactions, group structuring, finance transactions and arrangements, M&A transactions and corporate disclosures.
  • Developing and maintaining internal policies and procedures to ensure compliance with US securities laws and corporate governance best practices.
  • Collaborating with our Investor Relations and Finance teams on disclosures and communications.
  • Working closely and building relationships with multiple business units across the NorthAm region to advise on a wide range of legal matters and ad hoc problems as they arise, including financial regulation and consumer protection, payments, banking, marketing standards and partnerships.
  • Structuring, drafting and negotiating commercial agreements with bank partners, API users and enterprise customers.
  • Collaborating with our Reward and Treasury teams on the corporate governance requirements associated with our share options scheme, interaction with the employee benefit trust and share buyback programmes.
  • Provide support for Board and committee meetings, including preparing and drafting meeting materials and resolutions and maintaining corporate minutes and records as necessary.
  • Working closely and collaboratively with other members of the Corporate Legal team to prepare, review and negotiate a broad range of corporate agreements and documentation in connection with a variety of corporate activities.
  • Staying up-to-date on corporate law developments and advising the business on the operational impact and practicalities of those developments.

Qualifications

About you:

We're looking for an experienced corporate lawyer with a passion for fintech and a deep understanding of the US public markets. You'll have:

  • A Juris Doctor (J.D.) degree from an ABA accredited law school and qualification to practice law in any U.S. state.
  • A minimum of 7 years of professional experience as an attorney, with a significant focus on corporate and securities law.
  • Extensive law firm or in-house experience advising on US public company matters, including SEC filings and corporate governance.
  • Proven expertise in drafting and negotiating agreements and disclosures related to capital markets transactions.
  • A broad legal knowledge that enables you to spot and resolve a variety of legal issues in a fast-paced environment. You will be energetic, dynamic, entrepreneurial and comfortable working at pace in a rapidly-changing organisation.
  • You will be able to translate complexity using a logical structure to communicate complex and technical information in a clear and concise way.
  • You’ll be a strategic thinker and a keen problem solver - a trusted adviser who can deliver quality and make an impact.
